Terms of Service.

The rules of the road for using Lapse. Short, honest, and governed by the laws of Tennessee.

These Terms of Service ("Terms") govern your access to and use of uselapse.com and the Lapse service (the "Service"), operated by Newtons Tech LLC ("Newtons Tech," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms.

Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into these Terms. If you are between 13 and the age of majority, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. We do not knowingly allow children under 13 to use the Service.

The Service

Lapse provides SSL certificate and domain expiry monitoring. Free public lookups are available without an account. Monitoring, alerts, and additional features require a paid subscription. While we strive to keep the Service available, we do not guarantee that the Service, lookups, alerts, or any feature will always be available, uninterrupted, timely, or error-free. We may modify, suspend, or discontinue any part of the Service at any time without notice.

Accounts

To create an account, you provide your email address and authenticate through a one-time magic link we send to that address. You are responsible for maintaining access to that email account. You agree to provide accurate information and to keep it current. One person or legal entity per account.

Subscriptions and Billing

Paid plans are billed through Stripe on a recurring basis until canceled. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees. Fees are listed on our pricing page and are non-refundable except where required by law. You can cancel at any time; your subscription remains active through the end of the current billing period and then ends automatically. We may change our pricing; if we do, we will give you reasonable notice before the change takes effect.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the Service, including by overwhelming our lookup endpoints
• Scrape, crawl, or harvest content through automated means designed to evade access controls or rate limits
• Submit domains or data you do not have a legitimate interest in monitoring or analyzing
• Use the Service to harass, stalk, or target any individual or organization
• Transmit malware, viruses, or other harmful code
• Resell or repackage the Service without our express written consent
• Use any content, output, or data from the Service to train, develop, fine-tune, or evaluate artificial intelligence or machine learning models, without our express written consent

Monitoring Accuracy

Lapse queries public data sources (DNS, RDAP, Certificate Transparency, public blacklists, and the like) to determine SSL and domain status. Those sources are provided by third parties and may be unavailable, inaccurate, or out of date at any time. We do our best to detect issues early, but the Service is not a substitute for your own monitoring, and we are not responsible for missed, delayed, or incorrect alerts. You remain responsible for renewing your certificates and domains.

Intellectual Property

All content in the Service, including text, images, code, logos, and designs, is the property of Newtons Tech LLC or its licensors and is protected by copyright and other intellectual property laws. You may not copy, reproduce, or redistribute our content without our written permission, except as permitted by fair use.

Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant Newtons Tech LLC a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without compensation or attribution to you.

Third-Party Links and Services

The Service may include links to, or rely on data from, third-party websites and services. We are not responsible for their content or practices.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NEWTONS TECH LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TIMELINESS OF ALERTS, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Limitation of Liability

To the fullest extent permitted by law, Newtons Tech LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including any loss resulting from an expired certificate or domain, missed alert, or reliance on lookup data. Our total liability, if any, is limited to the greater of $100 or the fees you paid us for the Service in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Newtons Tech LLC and its officers, members, and employees from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

Termination

We reserve the right, at our sole discretion and without notice, to suspend, restrict, or terminate your access to the Service if we believe you have violated these Terms or engaged in conduct that may harm the Service, other users, or Newtons Tech LLC. You may terminate your account at any time by contacting us or using in-product controls when available. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.

Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of laws principles. Any disputes arising from these Terms or your use of the Service will be resolved in the state or federal courts located in Knox County, Tennessee.

Changes to These Terms

We may update these Terms from time to time. Material changes will be noted on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Electronic Communications

By using the Service, you consent to receive communications from us electronically, including notices posted on the Service and messages sent to any email address you provide. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Miscellaneous

• Severability: If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Newtons Tech LLC regarding your use of the Service and supersede any prior agreements or understandings.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, or sale of assets.
